If you disagree with any part of these terms and conditions, please do not use our website. The term "La Prop" or "us" or "we" refers to the owner of the website, registered under Colombian law and at the Medellin Chamber of Commerce. Our Tax ID or Número de Identificación Tributaria (NIT) is 901540319-9, registered with the Medellin Chamber of Commerce as "La Prop". The term "you" refers to the user or viewer of our website. LaProp reserves the right to change or modify these site terms or policies at any time and in its sole discretion. If changes are made, we will notify you via our website. Your continued use of our sites after changes are posted confirms your acceptance of such changes. Therefore, you should review the site terms and conditions and applicable policies regularly to ensure understanding of the terms that apply to you and your use of the sites. These site terms apply solely to your access and use of the Cubes Colombia S.A.S website or mobile application, a Colombian limited liability company located in Medellin and accessible via www.laprop.co, and any other sites or mobile applications operated by LaProp that link to these site terms (collectively referred to as "the sites"). Our online services (the services) are also covered by these site terms. If you are using the sites on behalf of an entity, you must represent and warrant that you are authorized to accept these site terms on behalf of the entity and that the entity agrees to be responsible for any violations of these site terms.

Legality

Using the sites in violation of your applicable national laws is strictly prohibited. You are responsible for verifying that your use of the sites and any transactions performed on them are allowed under your jurisdiction's laws and regulations. If you have any questions about legality, please consult with a legal advisor. If you access, use or navigate the websites, you do so at your own risk and you are solely responsible for ensuring compliance with all relevant rules and regulations.

What do we do?

Services & Exchange of Intangibles The sites offer information on potential investments in real estate tokens from La Prop. These products are intangible assets under Colombian law and are represented by La Prop's Cryptographic Token - a series of digital smart contract tokens based on the Polygon blockchain that meet standards for transfer restrictions and protections. These tokens after bought are exchanged for shares in an LLC specifically established for property management. La Prop uses the Polygon blockchain but also considers other options like BSC, IOTA, and CRO Cronos to increase access to real estate investment for a broader audience. La Prop allows you to choose from a variety of tokens avaible, but your participation is subject to several factors such as compliance with legal requirements, SARLAFT verifications, token exchange, third-party consent, final documentation, and La Prop's discretion. Please refer to section 6 for information on restrictions for users residing in foreign countries. La Prop doesn't guarantee that the project you choose will happen or that you will be able to participate even if it does. If offered, you'll have to complete the KYC process and accept the terms of the specific offer. La Prop's management decisions are final for all matters related to the Sites, Services, Projects, and other activities related to the Sites. Past performance does not guarantee future results. Historical returns, expected returns, or projections may not accurately reflect actual future performance. Investing in real estate, like any other field, is risky and unpredictable. The real estate industry experiences ups and downs and the property you invest in may not generate positive cash flow or perform as expected. Additionally, the value of the property you invest in may decrease at any time and future property value is uncertain. It is recommended that prospective clients review all available information and consult with their tax, legal, and financial advisors before making a decision regarding any offering. La Prop does not provide investment advice or recommendations for any offerings posted on its website. By participating in any La Prop's Token offering through the Sites, you acknowledge that each offering may be subject to the terms of service, but will also have its own specific terms, rules, and risks. It is your responsibility to carefully review all terms, rules, risk factors, and serial offering documents to determine if you agree with them. The Tokens associated with any La Prop's Token offering you participate in will be governed by the terms and conditions outlined in the applicable purchase documents related to that specific offering. To purchase La Prop's Tokens in a specific offering, you may need to complete several steps, including but not limited to: Completing La Prop's user registration process, which includes providing identification information for the KYC process to LaProp and its third-party allies Entering into the specific offering agreements Funding one or more investments in a specified cryptocurrency Confirming your intention to proceed with the offering at closing if required by the offering Creating a digital asset wallet with a third party Providing additional information or taking other actions as requested throughout the offering process. La Prop does not give recommendations or advice regarding any offerings posted on its website. The Tokens offered on the La Prop's website are not subject to Colombia's Financial Consumer Statute or the Basic Legal Framework of the Superintendency of Finance. It is the responsibility of clients to review all terms, rules and risk factors of each offering and make an informed decision before participating. Neither the Colombian Superintendency of Finance nor any national securities commission has approved or endorsed the merits of the tokens offered. Purchasing La Prop's Tokens carries a significant level of risk. There is no guarantee that the company's objectives will be met or that a secondary market for the Tokens will exist, whether through the La Prop Website or through third-party registered broker-dealers. Investing in the Tokens requires a high level of risk tolerance, low liquidity, and a long-term commitment. The Tokens being bought are not insured and may decrease in value.

Information Accuracy

By using the La Prop website, you agree to the following: Provide accurate and complete registration information, which you will promptly update if necessary. Have the legal capacity to agree to these terms and conditions. Authorize La Prop to contact individuals or firms for information about you. Authorize those contacted to provide information to La Prop. Treat this agreement and other account-related documents as La Prop's property. Promptly notify La Prop of any changes to the information in such agreements and documents. Authorize La Prop to obtain credit reports and provide information about your creditworthiness and business conduct. Request a copy of any report obtained by La Prop. Be at least 18 years old to use the La Prop website or purchase Tokens. Minors under the age of 18 are not allowed to use the La Prop website or purchase Tokens.

KYC (SAGRILAFT)

By using the Site, you confirm that the information you provide for registration is accurate, up-to-date, and complete. You agree to promptly update the information if necessary and comply with the Terms and Conditions. You allow us to contact any person or company and authorize them to provide us with the information we request. You understand that this Agreement, your account application and any related documents are the property of the site. You must inform us of any changes to this information in writing within 10 calendar days. You give us permission to check your creditworthiness and business conduct and provide information to others. We may keep this Agreement, the account application and all other relevant documents, even if credit is not extended. The Site is intended for users aged 18 and above. Individuals under 18 years old are not allowed to use or register for the Site or purchase Tokens. In compliance with Colombian law to prevent the funding of terrorism and money laundering, we are required to obtain, verify, and record identifying information from anyone opening an account. This includes your name, address, date of birth and other identifying information. We may also ask for copies of your identification documents such as driver's license or passport and may take steps to verify the information provided in your account application. Your access to the account may be restricted until verification is completed. You must promptly notify us of any changes in your information, including name, address, email, and phone number.

Compliance Manual

LaProp has a comprehensive SAGRILAFT manual that outlines all measures to prevent and control the risks of money laundering and terrorist financing. The manual details our policies for customer knowledge, assigns responsibilities, outlines customer controls and sets protocols for detecting suspicious transactions. Our entire team is provided with the manual and regularly trained in risk prevention.

User Registration

As a user, you are required to register on the Site to access the offerings. You must keep your password confidential and will be responsible for all activities conducted under your account. The company reserves the right to remove, reclaim, or change any username you choose if deemed inappropriate, obscene, or otherwise unacceptable. Citizens or those with fiscal residency in the United States, Venezuela, North Korea, Cuba, Afghanistan, and Iran are currently not eligible to participate in any of the offerings. This may be subject to change. Please review our privacy policy for information on how we use your personal data. In the event of the death of a token owner, if you are a legitimate heir, please contact us at legal@laprop.co to discuss your situation and have the certificates issued after verifying your identity and the validity of the related documents.

We are not a Broker.

La Prop is not a registered broker-dealer, funding portal, or investment advisor and does not conduct any activity that would require such registration. None of the information found on the Sites constitutes a recommendation. This information has been carefully crafted without reference to any particular user's investment requirements or financial situation. The Sites do not offer financial advice or recommend investments. It is highly recommended that you consult qualified professionals before making any investment decisions. Any information that is available through the Sites should not be considered as financial advice and should not be used as the basis for making financial decisions. We are not liable for any reliance on information found on the Sites by you or anyone who you may inform of its contents.

Payments.

La Prop may now or in the future charge fees for the use of the Service or certain features thereof. You agree to pay to La Prop all applicable fees for services purchased on or through the Website or Service under your account at the then-current rates for such services (including any applicable taxes). Service fees will be billed at the time you purchase the applicable services. Unless otherwise notified to you in writing by La Prop, all fees and charges are non-refundable unless the property could not be purchased or the tokens were not sold within the expected time. Please note that as tenants we have obligations under Colombian law. In the event that we have to incur expenses related to necessary repairs, as defined by the Municipal Housing Rental Law, such amount, it will be charged to the rents received for the property. You are aware that the maintenance and management of the properties are subject to fees which La Prop may change from time to time in order to maintain the efficiency and quality of its services for the benefit of its subscribers, partners and clients. In the event of a change in the fees for the services purchased under your account, La Prop will notify you of the change in advance (by e-mail or by posting a notice on the website). You understand that there are charges for the processing of property sales and purchases and other services provided under this Agreement. You also agree to pay all applicable national and local taxes. You authorise La Prop to automatically debit your wallet for all commissions, fees, charges and taxes. You agree to pay all such commissions and fees at the applicable rate. You acknowledge that the applicable rate of commissions and fees is subject to change without notice. You agree to be bound by any such changes. You specifically agree to pay a reasonable rate of interest on the principal amount of any debit balance carried in respect of your Account.

Currency fluctuation.

You must be aware that the investments made by La Prop are linked to the value of the currency on the international market, in this sense, La Prop cannot be responsible for the positive or negative fluctuation of the currency applicable to the place where the property is located. For example, if the value of the Colombian Peso (COP) decreases in relation to your reference currency, this would result in a decrease in the value of the property. Conversely, if the value of the Colombian Peso increases, we would expect the value of the shares to increase.

Applicable Laws and Regulations.

All transactions on your account are subject to Colombian laws and regulations. In no event shall La Prop be obligated to effect any transaction that it believes to be in violation of any local law. This Agreement (and any further rules, policies or guidelines incorporated by reference) shall be governed by and construed and enforced in accordance with the laws of Colombia as they apply to agreements entered into and to be performed entirely within Colombia, without giving effect to any principles of conflict of laws and without application of the Uniform Computer Information Transaction Act or the United Nations Convention on Contracts for the International Sale of Goods. By agreeing to the Terms and Conditions and using la Prop, you agree to submit to the personal jurisdiction of the courts of Colombia for all purposes, and you agree to waive, to the fullest extent permitted by law. Unless otherwise agreed in writing by you and La Prop, any dispute arising out of or relating to the Terms, or any breach thereof, shall be finally settled by binding arbitration administered by the Chamber of Commerce of Medellin (https://www.camaramedellin.com.co/). The arbitration shall be conducted in Spanish before a single arbitrator in Medellin. Such arbitration must be commenced within one (1) year after the claim or cause of action arises. Judgment on any award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Any cause of action you may have with respect to the Service and all products and services offered through La Prop's Site or Service must be commenced within one (1) year after the cause of action arises. Otherwise, such cause of action will be permanently barred. You acknowledge and agree that you may bring claims against La Prop only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Modification.

We reserve the right to change, modify or remove the content of the Site at any time and for any reason at our sole discretion without notice. However, we are under no obligation to update any information on the Site. We will not be liable to you or any third party for any modification, price change, suspension or discontinuance of the Site or the Token Offerings. We cannot guarantee that the Website and the Offerings will be available at all times. We may experience hardware, software or other problems or need to perform maintenance in connection with the Site, which may result in interruptions, delays or errors. We reserve the right to change, revise, update, suspend, discontinue or otherwise modify the Site or the Offerings at any time and for any reason without notice to you. You agree that we shall not be liable for any loss, damage or inconvenience caused by your inability to access or use the Website or the Offerings during any suspension or discontinuance of the Website or the Offerings. Nothing in these Terms and Conditions shall be construed as imposing any obligation on us to maintain or support the Website or the Securities Offerings or to make any corrections, updates or releases in connection therewith.
